Position: Part-time Contracts Attorney (20-30 hours per week)
Essential Functions include:
• Draft and review confidentiality agreements, material transfer agreements, sales/distribution agreements, license agreements and other miscellaneous contracts and corporate documents
• Ensure compliance with internal SOP requirements for contract reviews and approvals
• Work with people within and outside the company to develop and draft numerous types of agreements
• Assist in the implementation of and ongoing support for the company's contracts and corporate document management database
Other responsibilities include:
• Perform other job related duties and special projects as assigned
• Support in-house attorney in the resolution of other legal issues as they arise
• Serve as a resource on all contracts-related issues
Education, experience and skill requirements:
• Law Degree and excellent undergraduate and law school academics
• Admission to the Minnesota Bar
• Minimum of 4 years of dedicated contracts experience spent drafting and reviewing numerous types of corporate contracts
• Excellent written and verbal communication skills
• Aggressive and creative problem solving skills
• Expert knowledge of contract documents and concepts and strong drafting skills
• Detail-oriented with excellent organizational skills
• Proficiency in Microsoft Word and Excel
• Ability to prioritize and handle multiple tasks successfully and in an autonomous fashion
• Excellent proofreading skills
• Ability to work with internal colleagues at all different levels throughout the organization in a customer service-oriented manner
Candidates with the following desirable qualifications will be given preference:
• Experience drafting and reviewing contracts applicable to pharmaceutical and research industries
• Working knowledge of SEC issues
• Prior in-house counsel experience
